VH1 Classic's "Your Move with YES" Contest

OFFICIAL RULES

1. OVERVIEW: Entrants can participate in VH1 Classic's "Your Move with YES" Contest (the "Contest") by creating profiles and uploading content to present who they are and what their music sounds like as specified in these Official Rules. NO PURCHASE NECESSARY TO ENTER OR WIN A PRIZE. A PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING. VOID IN ALASKA AND HAWAII AND WHERE PROHIBITED OR RESTRICTED BY LAW.

2. ENTRY PERIOD: The Contest entry period commences at 12:00:01 AM (ET) April 10, 2008 and ends at 11:59:59 PM (ET) May 9, 2008 (the "Entry Period"). All entries must be received by 11:59:59 PM (ET) May 9, 2008 and must comply with these Official Rules including Paragraph 6 below. During the period commencing at 12:00:01 AM (ET) May 12, 2008 and ending at 11:59:59 PM (ET) June 6, 2008 ("Judging Period" and together with the Entry Period, the "Contest Period"), judging and online voting will occur as further described below.

3. ELIGIBILITY: Contest is open to legal residents of the forty-eight (48) contiguous United States who are sixteen (16) years of age and older at time of entry. Finalists and winners are subject to proving eligibility, including verification of social security number, and the prize winners are further subject to possessing a valid, government-issued photographic identification at the time of prize fulfillment. If any finalist or winner cannot furnish verifiable and valid proof of age within forty-eight (48) hours after being notified as a finalist or a winner, an alternate finalist or winner may be chosen from among all remaining Eligible Entries (as defined below) received, in the sole discretion of MTV Networks ("MTVN"), a division of Viacom International, Inc. ("Viacom"). Entrants can participate on an individual basis (the "Solo Artist" or "Solo Artists") or as a member of a band of up to five (5) individuals (the "Band" or "Bands" and, together with the Solo Artist or Solo Artists, the "Entrant" or "Entrants"). Bands are permitted to participate provided that one participating member of the Band is designated as the main contact (the "Leader") and all members of the Band are at least sixteen (16) years of age as of the commencement of the Entry Period. At time of entry and during the Contest Period, Entrants must also be and remain amateur musicians and must not be a party to any agreement with any record label, production company, publishing company or any third party that might interfere with such Entrant's participation in this Contest and/or receipt of the prizes awarded. MTVN reserves the right in its sole discretion to disqualify any Entrant who is under a third party agreement which MTVN deems contradictory to the amateur nature of this Contest. Entrants are not eligible to participate in the Contest if they are, or have an immediate family member (parent, spouse, child, sibling, grandparent, step parent, step child and step sibling) that is an agent, employee, officer, director, successor or assign of MTVN, Viacom, or any other participating sponsors, affiliated companies, subsidiaries, advertising agencies and third party fulfillment agencies (collectively, "Sponsor Entities") as well as any person who has won an MTVN national contest or sweepstakes in the twelve (12)-month period preceding entry into this Contest.

4. By participating in this Contest, Entrants: (a) agree to be bound by these Official Rules and by the interpretation of these Official Rules by MTVN and by the decisions of MTVN, which are final in all matters relating to the Contest; (b) agree to release and hold harmless Sponsor Entities and their respective agents, employees, officers, directors, successors and assigns, against any and all claims, injury or damage arising out of or relating to participation in the Contest and/or the use or misuse or redemption of a prize, and for any claims based on publicity rights, defamation, invasion of privacy, copyright infringement, trademark infringement or any other causes of action; and (c) acknowledge compliance with these Official Rules. MTVN reserves the right, in its sole discretion, to disqualify any Entrant who is under a third party agreement which MTVN deems as contradictory to the nature of this Contest.

5. Sponsor Entities assume no responsibility for any internal disputes among members of any Band with regard to the material submitted, collective interests in any intellectual property or any other internal disputes among the individuals and/or entities that have collective interest in any Audition Entry (as defined below). Such disputes will not be resolved by Sponsor Entities. In the event any such dispute interferes with the operation of this Contest, Entrants and, when applicable, each Band member or the Band as a whole may be disqualified.

6. TO ENTER: Solo Artists: Log onto www.vh1classic.com, a web site owned and operated by MTVN, (the "Web Site") at any time during the Entry Period and follow instructions to enter, including clicking on ["YES Join Jon Onstage Contest link"] which will lead you to www.addictedtonoise.com, a web site owned and operated by MTVN (the "A2N Web Site" and together with the Web Site, the "MTVN Web Sites"). On the A2N Web Site, Entrants must electronically agree to the MTVN Terms of Use, Privacy Policy and User Content Submission Agreement. Entrants must follow instructions on the A2N Web Site to register and create an artist account with the A2N Web Site (the "Artist Account"), and opt-in to enter and upload: a two to five (2:00-5:00) minute video featuring the performance (including audio) of an original song (music and lyrics) wholly composed and performed by Entrant (the "Audition Entry"). If any submitted Audition Entry exceeds five (5:00) minutes in length, only the first five (5:00) minutes of the Audition Entry will be considered. The Audition Entry must be in an acceptable format supported by the MTVN Web Sites and must not exceed 100MB in size. (Acceptable formats are: .avi, .dv, .mov/.qt, .mpeg, .mp4, .3gp, .asf/.wmv, and flv.) The Audition Entry must be comprised only of original elements created by Entrant and may not contain elements which are/have been created, developed, copyrighted, trademarked and/or patented by third parties or which are owned or subject to proprietary or licensing rights of or by an entity other than Entrant(s) personally and in their individual capacity(ies). Any Audition Entry that does not meet the requirements of the previous sentence will not be accepted or will otherwise be disqualified.

Bands: The Leader must log onto the Web Site at any time during the Entry Period and follow instructions to enter, including clicking on ["Your Move with YES" Contest link"] which will lead the Leader to the A2N Web Site. On the A2N Web Site, the Leader must electronically agree to the MTVN Terms of Use, Privacy Policy and User Content Submission Agreement; and follow the online instructions to complete all required fields to register and create an Artist Account. Only original Band members (i.e. those appearing in the Audition Entry) will be eligible to win any prizing. Once an Audition Entry is submitted, Band members may not be substituted or replaced as any substitution or replacement of a Band member will disqualify the Band from the Contest. Once the Band's Artist Account is created the Leader may follow instructions to opt-in to enter and upload: a two to five (2:00-5:00) minute Audition Entry wholly composed and performed by the Band. If any submitted Audition Entry exceeds five (5:00) minutes in length, only the first five (5:00) minutes of the Audition Entry will be considered. The Audition Entry must be in an acceptable format supported by the MTVN Web Sites and must not exceed 100MB in size. 7. Incomplete or inaccurate Audition Entries are void. Once Entrants have created an Artist Account on the Contest entry page on the A2N Web Site, Entrant will be able to submit unlimited Audition Entries for consideration into the Contest. Entrants will be required to electronically agree to the terms of the User Content Submission Agreement for each Audition Entry entered into the Contest. Duplicate Audition Entries submitted by any Entrant on the Web Site shall be disqualified. Audition Entries that are not comprised solely of elements original to Entrant or are incomplete will not be accepted or will otherwise be disqualified. Furthermore, Audition Entries which do not adhere to the following programming guidelines will not be accepted or will otherwise be disqualified:

1. Audition Entries containing content which endorses or condones illegal drug use or alcohol abuse are not permitted. Content should not promote, glamorize or show as socially acceptable, the use of illegal drugs or the abuse of legal drugs.
2. Audition Entries containing obscene, crude, vulgar or offensive content and/or any content expressing explicit, graphic or excessive sexual activity are not permitted; and/or
3. (c) Audition Entries containing content that is or could be considered inappropriate, unsuitable or offensive, as determined by MTVN in its sole discretion, are not permitted.

Without limiting the foregoing, MTVN reserves the right to reject any Audition Entry that it deems, in its sole discretion, to violate any of the policies of MTVN's "Standards and Practices Guidelines". MTVN may modify or edit any Audition Entry or request Entrants to do so, so that the Audition Entry meets such guidelines. Proof that Entrant has uploaded an Audition Entry to enter the Contest does not constitute proof or evidence that MTVN actually received it within the Entry Period. The Audition Entries submitted in accordance with these Official Rules shall be collectively known as the "Eligible Entries".

8. MTVN shall own and control the copyright to all Audition Entries (including master recordings embodied therein), and has the right to exploit them in all media now known or hereafter devised worldwide in perpetuity without compensation to Entrant, provided however that the copyright in any underlying musical composition contained in such Audition Entry shall, as between MTVN and Entrant, remain the property of Entrant. Notwithstanding the foregoing, to the extent any Audition Entry contains any copyrighted material or elements, including without limitation musical compositions, upon submitting the Audition Entry, Entrants grant MTVN a non-exclusive, royalty-free license to use, reproduce, distribute, publicly perform, edit, make derivative works from, and/or otherwise exploit such elements (as contained in such Audition Entry or otherwise) in all media now known or hereafter devised worldwide in perpetuity.

9. Without limiting the foregoing, MTVN shall have the sole and exclusive right to exploit each Audition Entry, and to license others to do so, in its sole discretion, in whole or in part, in all media now known or hereafter devised, throughout the world in perpetuity, together with the right to use, alter and modify each Audition Entry (including without limitation, the audio portion thereof) in any manner that MTVN or its licensees may determine. By submitting an Audition Entry, Entrants warrant that the Audition Entry, and all elements contained therein, are original with Entrant, or have been fully cleared by Entrant and that neither the Audition Entry, nor MTVN's or its licensees' use thereof, will infringe on any rights or trademarks of any person or entity. Entrants furthermore confirm that, to the best of their knowledge, any statements made in connection with the Audition Entry will be true and not violate or infringe on any third party's rights.

10. MTVN, Viacom and each of their respective affiliates, subsidiaries, respective directors, officers, employees and agents are not responsible for any problems or technical malfunctions of any telephone network or lines, computer on-line systems, servers or providers, computer equipment, software, failure of email or players on account of technical problems or traffic congestion on the Internet or at any Web Site, any human error which may occur in the processing of the entries in the Contest, or combination thereof, including injury or damage to participants or to any other person's computer related to or resulting from participating, uploading, or downloading materials in this Contest. If, for any reason, the Contest cannot be run as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of MTVN which corrupt or affect the administration, security, fairness, integrity or proper conduct of this Contest or for any reason MTVN deems it necessary, MTVN reserves the right in its sole discretion to cancel, terminate, modify or suspend the Contest. Should the Contest be terminated prior to the stated expiration date, notice will be posted on the MTVN Web Sites.

11. FINALIST SELECTION: Following expiration of the Entry Period but before 11:59:59 PM (ET) May 19, 2008, up to five (5) finalists (each a "Finalist") will be selected from all the Eligible Entries actually received by MTVN during the Entry Period by the official judging panel comprised of representatives of MTVN and Jon Anderson of YES (the "Judges") based on the judging criteria set forth in Paragraph 13 below.

12. FINALIST NOTIFICATION: MTVN will make three (3) email attempts to contact each potential Finalist using the information provided on Entrant's A2N Web Site Artist Account over the forty-eight (48) hour period following potential Finalist selection (which contact attempts will be made to the Leader of a Band, if a potential Finalist is a Band). If any potential Finalist is unreachable (or is reached but fails to confirm his/her identity and eligibility including all Band members if a potential Finalist is a Band) within twenty-four (24) hours of initial contact, or if selected potential Finalist fails to comply with the Contest rules, then all rights of such potential Finalist shall be terminated, and an alternate potential Finalist may be selected from the remaining Eligible Entries by and at the sole discretion of MTVN.

13. JUDGING CRITERIA: The Judges will select the Finalists based on the music, lyrics, and video performance contained in an Eligible Entry (the "Judging Criteria"). All decisions of the Judges are final.

14. ONLINE VOTING PERIOD: Between 12:00:01 AM (ET) May 23, 2008 through 11:59:59 PM (ET) June 6, 2008 (the "Online Voting Period"), Finalists' Audition Entries shall appear on the A2N Web Site and be subject to voting by A2N Web Site users. During the Online Voting Period, A2N Web Site users will be invited to vote to indicate their preference for the Finalist's Audition Entry they believe merits awarding of the Grand Prize.

15. FIRST PRIZE WINNER SELECTION: Two (2) potential First Prize Winners will be selected from the pool of up to five (5) Finalists as determined by the Judges, based on the Judging Criteria in conjunction with the results of the online voting. Preferences indicated by A2N Web Site user voting in the Contest are not binding on Judges, but Judges will consider and take such voting into account in their deliberations.

16. GRAND PRIZE WINNER SELECTION: One (1) potential Grand Prize Winner will be selected from the pool of Finalists as determined by the Judges, based on the Judging Criteria in conjunction with the results of the online voting. Preferences indicated by A2N Web Site user voting in the Contest are not binding on Judges, but Judges will consider and take such voting into account in their deliberations.

17. PRIZE WINNER NOTIFICATION: Once the one (1) potential Grand Prize Winner has been selected, MTVN will make three (3) email attempts to notify the potential Grand Prize Winner using the information provided on such Entrant's A2N Web Site Artist Account over the forty-eight (48) hour period following potential Grand Prize Winner selection (which contact attempts will be made to the Leader of a Band, if a potential Grand Prize Winner is a Band). If any potential Grand Prize Winner is unreachable (or is reached but fails to confirm his/her identity and eligibility including all Band members if a potential Grand Prize Winner is a Band) within twenty-four (24) hours of initial contact, or if selected potential Grand Prize Winner fails to comply with the Contest rules, then all rights of such potential Grand Prize Winner to receive and use the Grand Prize thereupon shall be terminated, and an alternate potential Grand Prize Winner will be selected from the remaining Eligible Entries by and at the sole discretion of MTVN. The Grand Prize Winner results will be posted on the A2N Web Site on or around June 6, 2008, but MTVN reserves the right to delay the announcement of the Grand Prize Winner in its sole discretion.

Once the two (2) potential First Prize Winners have been selected, MTVN will make three (3) email attempts to notify each of the potential First Prize Winners using the information provided on such Entrant's A2N Web Site Artist Account over the forty-eight (48) hour period following potential First Prize Winner selection (which contact attempts will be made to the Leader of a Band, if a potential First Prize Winner is a Band). If any potential First Prize Winner is unreachable (or is reached but fails to confirm his/her identity and eligibility including all Band members if a potential First Prize Winner is a Band) within twenty-four (24) hours of initial contact, or if selected potential First Prize Winner fails to comply with the Contest rules then all rights of such potential First Prize Winner to receive and use the First Prize thereupon shall be terminated, and an alternate potential First Prize Winner may be selected from the remaining Eligible Entries by and at the sole discretion of MTVN.

The determination of the Judges shall be final and binding on all Finalists, First Prize Winners and the Grand Prize Winner for all purposes. In the event of a tie or dispute or for any other reason that MTVN deems necessary, the final winner determination shall be made by MTVN. To the extent permitted by law, MTVN and the Judges disclaim any and all liability from, and Entrants, whether or not a Finalist, First Prize Winner or Grand Prize Winner, agree to waive, any claims against MTVN and the Judges relating to the judging or awarding process. MTVN and the Judges reserve the right to extend the Contest Period or not to award any or all prizing if they determine, in their sole discretion, that entries received did not meet the qualification standards based on the Judging Criteria.

18. PRIZING: The Contest will award prizes to up to two (2) First Prize Winners ("First Prize") and one (1) Grand Prize Winner ("Grand Prize") as follows: First Prize: Two (2) First Prize Winners will be awarded the First Prize as follows:
If First Prize Winner is a Solo Artist:

• Admission for two (2) to the YES tour concert venue nearest his/her hometown (EXCLUDING TORONTO AND QUEBEC). Approximate retail value (the "ARV") of each admission is two hundred and fifty dollars ($250.00).

If First Prize Winner is a Band:

• Admission for two (2) for each Band member to the YES tour concert venue nearest the hometown of the applicable Band member (EXCLUDING TORONTO AND QUEBEC). ARV of each admission is two hundred and fifty dollars ($250.00).

First Prize Winner(s) (including all Band members if First Prize Winner is a Band) acknowledge and agree that MTVN shall be under no obligation to further develop or use the First Prize Winner(s)' Audition Entry or any of the ideas or concepts associated with or discussed in connection therewith beyond what is offered in this First Prize.
Grand Prize: One (1) Grand Prize Winner will be awarded the Grand Prize as follows:
If Grand Prize Winner is a Solo Artist:

• One (1) Certificate of Excellence designed by Roger Dean.

Admission for two (2) to the YES tour concert venue nearest his/her hometown (EXCLUDING TORONTO AND QUEBEC). ARV of each admission is two hundred and fifty dollars ($250.00).

• If the Grand Prize Winner lives further than one hundred fifty (150) miles from said venue, MTVN will provide a travel stipend of five hundred dollars ($500.00).
• The Grand Prize Winner will join Jon Anderson onstage to perform the song "Give Love Each Day".

If Grand Prize Winner is a Band:

• One (1) Certificate of Excellence designed by Roger Dean.
• Admission for two (2) for each Band member to the YES tour concert venue nearest the hometown of the Leader of the Band (EXCLUDING TORONTO AND QUEBEC). ARV of each admission is two hundred and fifty dollars ($250.00).
• If any Band member of the Grand Prize Winner lives further than one hundred fifty (150) miles of said venue, MTVN will provide a total travel stipend of five hundred dollars ($500.00) to be distributed amongst all members of the Band.
• The Grand Prize Winner will join Jon Anderson onstage to perform the song "Give Love Each Day".

YES Tour dates tentatively scheduled to occur during the summer of 2008.
Grand Prize Winner (including all Band members if Grand Prize Winner is a Band) acknowledges and agrees that MTVN shall under no obligation to further develop or use the Grand Prize Winner's Audition Entry or any of the ideas or concepts associated with or discussed in connection therewith beyond what is offered in this Grand Prize.
The total ARV of all prizing for this Contest is eight thousand dollars ($8,000.00).

19. The tentative dates for all prize fulfillments are between July 2008 and August 2008 and are subject to change at MTVN's sole discretion. The total ARV of all prizing for this Contest is eight thousand dollars ($8,000.00). The actual retail value of the prizes awarded in this Contest depends on current existing market conditions at time of prize fulfillment. Grand Prize Winner (including all Band members if Grand Prize Winner is a Band) must possess valid travel documents as well as obtain parental or legal guardian consent (if such winner is under the age of eighteen (18) and/or eighteen (18) is not the age of majority in the jurisdiction in which such winner resides) at the time of prize fulfillment. Grand Prize Winner (including all Band members if Grand Prize Winner is a Band) must be available to attend the concert on the date selected by MTVN. In the event the Grand Prize Winner (including all Band members if Grand Prize Winner is a Band) is unable to attend the concert on such date as determined by MTVN, Grand Prize Winner of the Contest and all privileges as a Grand Prize Winner will immediately be forfeited and terminated. An alternate Grand Prize Winner may be selected instead from among all of the remaining Eligible Entries received by and at the sole discretion of MTVN. Any expenses which are not expressly set forth in these Official Rules as paid for by MTVN as part of the prizes are Entrant's sole responsibility including, without limitation, expenses relating to creating or uploading Audition Entries, air transportation, ground transportation to and from airports (as applicable) and/or concert venues (as applicable), accommodations, meals, etc. The value of the prize(s) may be taxable as income. Upon receipt of any prize, First Prize and Grand Prize Winners (including all Band members if such winners are a Band) are required to comply with any and all applicable federal, state and local tax that becomes due with respect to the prize(s).

20. The specifics of all elements of any prize in the Contest shall be solely determined by MTVN. Some restrictions may apply. No substitution, transfer of any prize (or any part of a prize package) or cash alternative is permitted, except by MTVN due to prize unavailability at time of award in which case a prize of equal or greater value will be awarded. Arrangements for the fulfillment of prizes will be made by MTVN. Before being awarded any prizes, the First Prize and Grand Prize Winners (including all Band members if such winners are a Band) must: (a) sign an affidavit of eligibility and release of MTVN and Viacom from any and all liability, claims, demands, and causes of action for personal injury and/or damage, theft, or loss suffered in connection with this promotion or the use or acceptance of the prize or any portion thereof to be eligible for the prizes; (b) where permitted, sign a promotional release granting the right to use his or her name and likeness for advertising and publicity purposes without additional compensation (c) sign MTVN's User Submission Content Agreement and a MTVN Guest Release (as needed) and; (d) if applicable, obtain parental or legal guardian written consent on any and/or all of the aforementioned documents (as requested by MTVN); and entry into this Contest constitutes First Prize and Grand Prize Winners' (including all Band members if such winners are a Band) agreement to sign such releases (and obtain parental/guardian consent, if applicable). First Prize and Grand Prize Winners (including all Band members if such winners are a Band) must also complete all legal documents and return them to MTVN within two (2) working days after receipt of such documents. Noncompliance may result in disqualification of the First Prize or Grand Prize Winners (including all Band members if such winners are a Band) and an alternate First Prize Winner(s) or Grand Prize Winner may be selected from among all remaining Eligible Entries, by and at the sole discretion of MTVN. ANY VIOLATION OF THESE OFFICIAL RULES BY ANY WINNER (AT MTVN'S SOLE DISCRETION) WILL RESULT IN SUCH WINNER'S DISQUALIFICATION AS WINNER OF THE CONTEST AND ALL PRIVILEGES AS GRAND PRIZE WINNER OR FIRST PRIZE WINNER (AS APPLICABLE) WILL BE IMMEDIATELY TERMINATED.

21. GENERAL CONDITIONS OF PARTICIPATION: Past experience has confirmed that contests and other competitions generate substantially similar submissions or entries which closely resemble concepts and ideas that have been independently developed by MTVN before or after the Contest. Accordingly, Entrants may subsequently see an MTVN presentation or program which seemingly incorporates an idea or concept or includes materials similar to that contained in their Audition Entry. Any similarity is purely coincidental and unavoidable in light of the volume of ideas which MTVN routinely considers in the course of its program development. Because of this possibility, Entrants hereby agree to submit their Audition Entry under the following terms and conditions: (i) that MTVN may use any ideas, concepts, material, in whole or in part, contained in an Audition Entry; (ii) that all materials submitted become the property of MTVN and will not be returned; (iii) that all materials submitted are free from any lien or claim by anyone, including, but not limited to any union, guild or performance rights society; (iv) Entrants have obtained all rights, permissions and licenses necessary to use the Audition Entry for any purpose and grant the right or permission herein contained; (v) that no Audition Entry, or any part thereof, infringes any trademark or copyright or otherwise violates anyone's right of privacy or publicity or any other right; (vi) by submitting an Audition Entry, Entrants consent to MTVN or its licensees exploiting such entry (any and all copyrighted elements contained therein, including without limitation music) in all media now known or hereafter devised worldwide in perpetuity; and (vii) Entrants indemnify and hold harmless MTVN and Viacom, from any claims, suits, losses damages and expenses (including reasonable attorneys' fees) that arise from any breach of the following conditions. All Entrants agree to the foregoing and in addition agree to obtain, upon request of MTVN, any documentation and releases necessary to prove their unrestricted ownership in all materials contained in their Audition Entry and their right to use such materials without limitation for any purpose. They further agree, if chosen as Finalist, First Prize Winner, or Grand Prize Winner, to assign all right, title and interest in all material and agree to sign such documentation MTVN deems necessary to formalize this assignment.

22. Notwithstanding the foregoing, Entrants agree that their Audition Entry may be used by MTVN or its licensees, in whole or in part for any purpose whatsoever without any compensation.

23. The receipt by any Entrant of any of the prize components of this Contest is conditioned upon compliance with any and all federal, state and local rules and regulations.

24. All interpretations of the rules and decisions by MTVN are final. MTVN reserves the right in its sole discretion to disqualify any individual it finds to be tampering with the entry process; to be acting in violation of the Official Rules; or to be acting in an unsportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person. All such requests must be received by no later than July 30, 2008. Vermont residents may omit return postage.
