To enter: log on to www.vh1.com, a website owned and controlled by MTV Networks, a division of Viacom International, Inc. (“MTVN”) starting at or around 12:00 p.m. (noon) Eastern Time (“ET”) on February 21, 2008 ending at or around 12:00 p.m. (noon) ET March 27, 2008 (the “Sweepstakes Period”) and follow the directions. Participants must fill out the required fields on the Sweepstakes entry form to be entered into the random drawing (collectively the “Eligible Entries”). There will be one (1) grand prize winner (the “Grand Prize Winner”) selected from all of the Eligible Entries received. Incomplete or inaccurate entry forms are void. Limit one (1) entry per person and per email address per day. .Additional entries received from any person or email address in a given day will be void. If an entrant uses same, different/multiple e-mail addresses to submit more than one online entry in a given day, all such entries after the first one will be void. For the purpose of this Sweepstakes, a day begins at 12:00 a.m. ET and ends at 11:59 p.m. ET, except for the first day which begins at 12:00 p.m. (noon) ET and ends at 11:59 p.m ET, and the last day which begins at 12:00 a.m. ET and ends at 12:00 p.m. (noon) ET. MTVN, Club Med (collectively, the “Sponsors”), and each of their respective parents, affiliates, subsidiaries, retailers, distributors, and advertising and promotion agencies and all of their respective directors, officers, employees and agents (collectively, the “Released Parties”) are not responsible for any problems or technical malfunctions of any telephone network or lines, computer on-line systems, servers or providers, computer equipment, software, failure of email on behalf of entrants on account of technical problems or traffic congestion on the Internet or at any Web site, any other errors or problems of any kind whether computer, network, technical, typographical, printing, human or otherwise which may occur in connection with this Sweepstakes, including, but not limited to, in connection with the administration of the Sweepstakes, the processing of the entries in the Sweepstakes, or the announcement of the prize, in any Sweepstakes-related materials or combination thereof. If, for any reason, the Sweepstakes is not capable of running as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes which corrupt or affect the administration, security, fairness, integrity or proper conduct of this Sweepstakes or for any reason MTVN deems it necessary, MTVN reserves the right at its sole discretion to cancel, terminate, modify or suspend the Sweepstakes. Should the Sweepstakes be terminated prior to the stated expiration date, notice will be posted on www.vh1.com and, at Sponsors’ discretion, the prize may be awarded based on a random drawing that MTVN will conduct from among all non-suspect, Eligible Entries received as of the date of termination. Entries that have been tampered with or altered are void. In the event of a dispute over who submitted an entry, such entry will be declared made by the authorized account holder of the email address submitted at the time of entry and such individual must be eligible according to these rules. An "authorized account holder" is defined as the natural person who is assigned to an email address by an Internet Access Provider, online service provider, or other organization (e.g., business, educational institution, etc.) that is responsible for assigning email addresses for the domain associated with the email address as applicable. All entries become the property of MTVN.

Prizing: One (1) Grand Prize Winner will receive a prize including:

Roundtrip coach air transportation to Ixtapa, Mexico for Grand Prize Winner and one (1) guest from the U.S. gateway airport nearest Grand Prize Winner’s residence (as determined by MTVN). MTVN reserves the right to substitute ground or water transportation for air transportation if Grand Prize Winner resides within 150 miles of Ixtapa, Mexico and no compensation or substitution will be provided for difference in prize value (Approximate Retail Value (“ARV”): $1,500.00);

Four (4) night all-inclusive vacation for winner and guest at Club Med Ixtapa (one (1) double occupancy room) (room and tax only) (ARV: $2,300.00);

Private training session with Celebrity Fit Club: Boot Camp Drill Instructor Harvey Walden, IV [Ret.] subject to Walden’s availability. (ARV: $0);

The new Club Med Diet package with activity list, fitness assessment and first steps towards a healthy lifestyle. (ARV: $0);

A Celebrity Fit Club gift bag (ARV: $100.00);

The total ARV of the Grand Prize is $3,900.00. Actual value may vary based on location of Grand Prize Winner’s residence.

The tentative date for prize fulfillment is April, 9, 2008 – April 12, 2008 and is subject to change at MTVN’s sole discretion. Selection of airline, airport, and ground transportation (if applicable) are within MTVN’s sole discretion. Grand Prize Winner and guest must travel together on the same itinerary. All travel arrangements must be made through MTVN’s agent. Certain travel restrictions may apply. Grand Prize Winner and guest must possess valid passport/travel documents at the time of travel. Grand Prize Winner and guest must be available to travel on the dates selected by MTVN or forfeit prize and all privileges as a Grand Prize Winner will immediately be terminated. An alternate Grand Prize Winner may be selected from among all of the remaining Eligible Entries in MTVN’s sole discretion. Private training session with Harvey Walden, IV [Ret.] will be subject to Walden’s availability. All federal, state and local taxes as well as any costs and expenses associated with prize acceptance and use which are not expressly set forth in these Official Rules as being provided including, without limitation, meals, snacks, beverages, mini-bar, entertainment, tips, souvenirs, personal expenses, and any damage to the hotel room, are Grand Prize Winner’s sole responsibility. If Sponsors are unable to provide any prize element for any reason, no compensation or substitution shall be provided; however, remainder of prize package will be awarded and Sponsors will have no further obligation to Grand Prize Winner. Tickets are subject to terms and conditions specified by MTVN. Seat locations will be determined by MTVN. Failure by Grand Prize Winner or his/her guest to comply with any such rules or regulations will result in forfeiture of that applicable portion of the Grand Prize. Prize is awarded “as is” with no warranty or guarantee, either express or implied by Sponsors.

The odds of winning will be determined by the total number of Eligible Entries received.

By participating in this Sweepstakes, entrants agree to be bound by these Official Rules and by the decisions of Sponsors which are final in all matters relating to this Sweepstakes.

The potential Grand Prize Winner will be chosen at random from among all of the Eligible Entries received by MTVN on or around March 27, 2008. The potential Grand Prize Winner will be contacted by telephone (no voicemail message will be left). If Grand Prize Winner is unreachable within one (1) business day of initial contact attempt, he/she may be disqualified and an alternate winner may be selected from among all remaining Eligible Entries received in Sponsors’ sole discretion. The potential Grand Prize Winner will be required to complete and return an affidavit of eligibility and a release of liability and, unless prohibited by law, publicity release, and require his/her guest to complete a liability/publicity release, and any other required legal documents and return them to MTVN fully-executed within two (2) business days after date of receipt of such documents. Noncompliance with these requirements or with these Official Rules or the return of any prize notification as undeliverable will result in disqualification of the Grand Prize Winner and, at Sponsors’ discretion; an alternate winner may be selected randomly from the remaining Eligible Entries.

The specifics of all elements of prize shall be solely determined by Sponsors. Except as otherwise specified herein, no substitution or transfer of prize (or any part of a prize package) or cash equivalents permitted except by Sponsors who reserve the right to award prize (or portion thereof) of comparable or greater value. Arrangements for the fulfillment of prize will be made by MTVN. Acceptance of prize constitutes Grand Prize Winner’s permission, where permitted, for Sponsors and their respective designees to use his or her name, city and state of residence and likeness for advertising, publicity and other purposes in any and all media, now or hereafter known, worldwide in perpetuity, without additional compensation, notification or permission.

The receipt by Grand Prize Winner of any of the prize components of this Sweepstakes is conditioned upon compliance with any and all applicable federal, state and local rules and regulations. ANY VIOLATION OF THESE OFFICIAL RULES BY GRAND PRIZE WINNER (AT MTVN’S SOLE DISCRETION) WILL RESULT IN SUCH GRAND PRIZE WINNER’S DISQUALIFICATION AS THE GRAND PRIZE WINNER OF “Vh1’s Celebrity Fit Club: Boot Camp presents: A Fit ‘n’ Fab Mexico Getaway” AND ALL ASSOCIATED PRIVILEGES WILL BE IMMEDIATELY TERMINATED.

Taxes on the prize are the sole responsibility of the Grand Prize Winner. Grand Prize Winner will be issued a IRS form 1099 for the fair market value of the prize.

All interpretations of the rules and decisions by Sponsors are final and binding. Sponsors reserve the right at their sole discretion to disqualify any individual they find to be tampering with the entry process or the operation of the Sweepstakes or web site; to be acting in violation of the Official Rules; or to be acting in an unsportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person and void all associated entries. Entrants release and hold Released Parties harmless from any and all losses, liability, damages, rights, claims and actions of any kind, in whole or in part, arising out of or relating to participation in this Sweepstakes or acceptance, possession or use/misuse of prize (including any travel or activity related thereto), including without limitation, personal injuries, death and property damage, including injury or damage to participants’ or to any other person’s computer related to or resulting from participating or downloading materials in this Sweepstakes.
