VH1’s “2008 Hip Hop Honors” Sweepstakes
OFFICIAL RULES

1. NO PURCHASE NECESSARY TO ENTER OR WIN. OFFER VOID IN HAWAII, ALASKA AND WHEREVER PROHIBITED OR RESTRICTED BY LAW. THIS PROMOTION SHALL BE CONSTRUED AND EVALUATED ONLY ACCORDING TO UNITED STATES LAW.

2. PROMOTION PERIOD: VH1’s “2008 Hip Hop Honors” Sweepstakes (the “Sweepstakes”) commences at 12:00 p.m. Eastern Time (“ET”) September 9, 2008, and ends at 11:59 p.m. ET October 13, 2008 (the “Promotion Period”). All entries must be received by 11:59 p.m. ET October 13, 2008 and must comply with these Official Rules, including Paragraph 4.

3. ELIGIBILITY: The Sweepstakes is open to all legal residents of the forty-eight (48) contiguous United States and District of Columbia who are twenty-one (21) years of age or older at the time of entry. Potential Grand Prize Winner’s one (1) guest must be a legal resident of the forty-eight (48) contiguous United States and must be twenty-one (21) years of age or older at the time of prize fulfillment. Potential Grand Prize Winner is subject to proving eligibility, including verification of social security number, and is further subject to possessing a valid, government-issued photographic identification at the time of prize fulfillment.  If potential Grand Prize Winner cannot furnish verifiable and valid proof of age within forty-eight (48) hours after being notified as the potential Grand Prize Winner, then all rights of such potential Grand Prize Winner to receive and use the Grand Prize thereupon will be terminated, and an alternate potential Grand Prize Winner may be chosen from among all remaining Eligible Entries (as defined below) received, in the sole discretion of MTV Networks (“MTVN”), a division of Viacom International, Inc. (“Viacom”). Entrants are not eligible to participate in the Sweepstakes if they are, or have an immediate family member (parent, spouse, child, sibling, grandparent, step parent, step child and step sibling and their respective spouses, regardless of where they reside) or household member, whether or not related, that is an agent, employee, officer, director, successor or assign of MTVN, Viacom, T-Mobile USA, Inc. (“T-Mobile”) or any other participating sponsors, affiliated companies, subsidiaries, advertising agencies and third party fulfillment agencies (collectively, “Sponsor Entities”) as well as any person who has won an MTVN-sponsored national contest or sweepstakes in the twelve (12)-month period preceding entry into this Sweepstakes. VOID IN ALASKA, HAWAII, AND WHEREVER PROHIBITED OR RESTRICTED BY LAW. Additional restrictions may apply. Sweepstakes is subject to all federal, state and local laws.

4. TO ENTER: The Sweepstakes will be posted on www.vh1.com (the “Web Site”), a website owned and controlled by MTVN during the Promotion Period. To enter, during the Promotion Period, entrants must complete all required fields on the online entry form, submit such entry form as directed, and must also electronically acknowledge and agree to the terms of MTVN’s Privacy Policy and Terms of Use (incorporated herein by reference) to be entered into the Sweepstakes. Entries submitted in accordance with these Official Rules shall be referred to herein as the “Eligible Entries”. Limit one (1) entry per person and per e-mail address per day. Entries submitted from any person or e-mail address in excess of the stated daily limitation will be void. If an entrant uses multiple e-mail addresses to submit more than one (1) entry for a given day, only the first online entry for that day will qualify as an Eligible Entry. There will be one (1) Grand Prize Winner selected from the Eligible Entries received. Entries generated by script, macro or other automated means and any other entries by means which subvert the entry process are void.

Incomplete or inaccurate entry forms are void. By participating, entrants acknowledge compliance with each provision of these Official Rules including all eligibility requirements. Sponsor Entities are not responsible for lost, late, stolen, incomplete, garbled, misdirected, undelivered, damaged or delayed entries or for errors of any kind, whether human, mechanical, electronic, network, human, printing typographical errors or otherwise relating to or in connection with this Sweepstakes, including, but not limited to, errors which may occur in connection with the administration of the Sweepstakes, the processing of entries,  the announcement of prize, in these Official Rules, any inaccurate or incorrect data contained on the Web Site or in any Sweepstakes-related materials. Sponsor Entities are also not responsible for any problems or technical malfunctions of any telephone network or lines, computer on-line systems, servers or providers, cable, satellite, computer equipment, software, failure of email on account of technical problems or traffic congestion on the Internet or at any website or combination thereof, including injury or damage to entrants or to any other person’s computer related to or resulting from participating or downloading materials in this Sweepstakes. If, for any reason, the Sweepstakes is not capable of running as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of MTVN which corrupt or affect the administration, security, fairness, integrity or proper conduct of this Sweepstakes or for any reason MTVN deems it necessary, MTVN reserves the right at its sole discretion to cancel, terminate, modify or suspend the Sweepstakes. Should the Sweepstakes be cancelled or terminated prior to the stated expiration date, notice will be posted on the Web Site and the prize may be awarded based on a random drawing from among all Eligible Entries received as of the date of cancellation or termination, at the sole discretion of MTVN.  Entries that have been tampered with or altered are void. In the event of a dispute over who submitted the winning entry, the authorized account holder of the winning email account will be declared the potential Grand Prize Winner and must comply with these Official Rules. An "authorized account holder" is defined as the natural person who is assigned to a telephone number, pager number or email address by a telephone company, wireless service provider, Internet access provider, Internet service provider, or other organization (e.g. business, educational, government, institution, etc.) that is responsible for assigning telephone numbers, pager numbers, wireless phone numbers, email addresses, for the telephone exchange associated with the submitted telephone or pager number or the domain associated with the submitted telephone, pager number or e-mail address, as applicable. All entries become the property of MTVN and will not be acknowledged or returned.

5. By participating in this Sweepstakes, entrants: (a) agree to be bound by these Official Rules and by the interpretation of these Official Rules by MTVN and by the decisions of MTVN, which are final and binding in all matters relating to the Sweepstakes; (b) agree to release and hold harmless Sponsor Entities against any and any and all liability, claims, demands, judgments, and causes of action for personal injury and/or damage, theft, or loss suffered in connection with this Sweepstakes or the use or acceptance of the Grand Prize (or any travel/activity related thereto) and; c) acknowledge compliance with these Official Rules.

6. GRAND PRIZE WINNER SELECTION: One (1) potential Grand Prize Winner will be chosen at random from among all of the Eligible Entries actually received by MTVN on or about November 17, 2008.

7. GRAND PRIZE WINNER NOTIFICATION: MTVN will attempt to contact the potential Grand Prize Winner via telephone (no voicemail messages will be left). If potential Grand Prize Winner is unreachable within seven (7) business days of initial contact, is found to be ineligible or does not comply with these Official Rules, then all rights of such potential Grand Prize Winner shall be terminated and an alternate potential Grand Prize Winner may be selected from among the remaining Eligible Entries at the sole discretion of MTVN.   

8. PRIZING:   One (1) Grand Prize Winner will receive the following “Grand Prize”:

• Round-trip coach-class air transportation to New York, NY for the Grand Prize Winner and one (1) guest from a major U.S. gateway airport of MTVN’s choice near the Grand Prize Winner’s residence. MTVN reserves the right to substitute air transportation for ground transportation if Grand Prize Winner resides within a 150-mile radius of New York City (Approximate Retail Value (“ARV”): $1,500.00).

• Standard hotel accommodations for two (2) nights at a hotel and room type selected by MTVN in its sole discretion (room and tax only, one (1) double occupancy room, ARV: $700.00).

• Admission for Grand Prize Winner and his/her one (1) guest to attend the 2009 VH1 Hip Hop Honors show (exact date to be determined by MTVN) (subject to change at MTVN’s sole discretion, ARV: $250.00).

• Admission for Grand Prize Winner and his/her one (1) guest to attend the 2009 VH1 Hip Hop Honors After-party (subject to change at MTVN’s sole discretion, ARV: $200.00).

• Two (2) T-Mobile Sidekick devices. (Service and activation not included, ARV: $600.00).

• One (1) night out at a New York City hot spot with a maximum value tab of $1,100.00 (subject to change in MTVN’s sole discretion, ARV: $1,100.00). Any amount not used will not be retained by winner.

• One (1) DJ Lesson for Grand Prize Winner and one (1) guest at a DJ School in New York City of MTVN’s choice (ARV: $600.00). 

The total ARV of the Grand Prize is $4,950.00.

The Cash Prize Alternative shall consist of $2,500.00 cash (the “Cash Alternative”). The Cash Prize Alternative may be chosen by Grand Prize Winner in lieu of the original 2008 VH1 Hip Hop Honors Sweepstakes Grand Prize. In no way can the Grand Prize and Cash Alternative be combined.

The tentative date for prize fulfillment is November 1, 2009 and is subject to change at MTVN’s sole discretion. The total ARV of all prizing for this Sweepstakes is $4,950.00. The actual value of the prizes awarded in this Sweepstakes depends on current existing market conditions at time of prize fulfillment and point of departure. Some restrictions may apply. Grand Prize is non-transferable. Selection of airline, airport, hotel, nightclub, and DJ school are within MTVN’s sole discretion. Travel must be booked with MTVN’s agent. Grand Prize Winner and his/her one (1) guest must possess valid passport/travel documents at the time of entry.  Grand Prize Winner and his/her one (1) guest must be available to travel on the dates selected by MTVN. In the event the Grand Prize Winner and his/her one (1) guest are unable to travel on such dates as determined by MTVN, Grand Prize Winner of the Sweepstakes and all privileges as a Grand Prize Winner will immediately be forfeited and terminated and an alternate Grand Prize Winner may be selected instead from among all of the remaining Eligible Entries received by and at the sole discretion of MTVN. Grand Prize Winner and guest agree to comply with all venue and lesson rules and regulations. Failure to do so may result in forfeiture of such portion(s) of prize. If MTVN is unable to provide admission to any event or lesson for any reason, no compensation or substitution will be provided in lieu thereof; however, remainder of prize package will be awarded. Any costs and expenses associated with prize acceptance and use which are not expressly set forth in these Official Rules, including but not limited to, meals, gratuities, luggage fees, phone calls, and any and all other travel and incidental expenses not specifically mentioned above as being included within the Grand Prize are the Grand Prize Winner and his/her one (1) guest’s sole responsibility. Grand Prize Winner is responsible for any and all applicable federal, state and local taxes that become due with respect to prize acceptance and use. Prize is awarded “as is” with no warranty or guarantee, either express or implied by Sponsor.

9. The specifics of all elements of the prize in the Sweepstakes shall be solely determined by MTVN. Certain travel restrictions may apply. No substitution or transfer or cash redemption of prize (or any part of prize package) except by MTVN which reserves the right to substitute the prize with one of comparable or greater value, at its sole discretion. Arrangements for the fulfillment of prizes will be made by MTVN. As a prerequisite for receiving and using the Grand Prize, the potential Grand Prize Winner must complete, sign and return to MTVN, within two (2) weeks after the date of MTVN’s request therefor and presentation thereof, (a) an affidavit of eligibility and a liability release of MTVN, Viacom, T-Mobile and each of their respective affiliates and employees from any and all liability, claims, demands, judgments, and causes of action for personal injury and/or damage, theft, or loss suffered in connection with this Sweepstakes or the use or acceptance of the Grand Prize (or any portion thereof; (b) except where prohibited by law, a promotional/publicity release; and (c) any other legal documents that MTVN may require (in its sole discretion) Failure of any potential Grand Prize Winner to complete, sign and return to MTVN such affidavit, release and legal documentation within such two (2) week period shall result in his/her disqualification from the Sweepstakes, in which event an alternate potential Grand Prize Winner may be selected, at MTVN’s sole discretion. Guest must also execute and return a liability/publicity release prior to issuance of travel documents. By accepting the prize, Grand Prize Winner grants permission for MTVN and its designees, to use his/her photograph, voice and/or likeness, for advertising and/or publicity purposes, in any and all media now known or hereafter devised, worldwide in perpetuity and without additional compensation, notification or permission, unless prohibited by law.

10. The value of the prize(s) may be taxable as income. The receipt by Grand Prize Winner of any of the prize components of this Sweepstakes is conditioned upon compliance with ny and all applicable federal, state and local rules and regulations. ANY VIOLATION OF THESE OFFICIAL RULES BY THE GRAND PRIZE WINNER OR ANY BEHAVIOR BY THE GRAND PRIZE WINNER THAT WILL BRING SUCH GRAND PRIZE WINNER OR ANY SPONSOR ENTITY IN DISREPUTE (IN SPONSOR ENTITIES’ SOLE DISCRETION) WILL RESULT IN SUCH GRAND PRIZE WINNER’S DISQUALIFICATION FROM ANY FURTHER PARTICIPATION IN THIS SWEEPSTAKES, AND ANY AND ALL BENEFITS AND PRIVILEGES POTENTIALLY TO BE ACCORDED TO SUCH GRAND PRIZE WINNER WILL BE TERMINATED IMMEDIATELY, IRREVOCABLY AND IN PERPETUITY.

11. All interpretations by MTVN of these Official Rules, and all decisions by MTVN under and relating to these Official Rules, are final, binding and non-appealable in all respects.  MTVN reserves the right, exercisable in its sole discretion at any time, to disqualify any individual it finds to be tampering with the entry process or the operation of the Sweepstakes or the Web Site; to be acting in violation of these Official Rules; or to be acting in an unsportsmanlike or disruptive manner, or with any intent to annoy, abuse, threaten or harass any other person and void all associated entries. CAUTION: ANY ATTEMPT BY AN ENTRANT OR ANY OTHER INDIVIDUAL DELIBERATELY TO DAMAGE ANY WEB SITE OR TO UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES IS A VIOLATION OF CRIMINAL AND CIVIL LAWS, AND SHOULD ANY SUCH ATTEMPT BE MADE, MTVN AND VIACOM RESERVE THE RIGHT (EXERCISABLE IN THEIR SOLE DISCRETION AT ANY TIME) TO SEEK AND OBTAIN DAMAGES AND OTHER REMEDIES (INCLUDING ATTORNEYS’ FEES) FROM ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT PERMITTED BY LAW.  THE NEW YORK COURTS (STATE AND FEDERAL) SHALL HAVE EXCLUSIVE PERSONAL AND SUBJECT MATTER JURISDICTION AND VENUE OF ANY CONTROVERSY, DISPUTE OR OTHER LEGAL PROCEEDING REGARDING THE SWEEPSTAKES, AND THE LAWS OF THE STATE OF NEW YORK SHALL GOVERN THE SWEEPSTAKES.  EACH ENTRANT IN THIS SWEEPSTAKES HEREBY WAIVES IRREVOCABLY AND IN PERPETUITY ANY AND ALL OBJECTIONS TO JURISDICTION AND VENUE IN THOSE COURTS AND HEREBY SUBMITS IRREVOCABLY AND IN PERPETUITY TO THE EXCLUSIVE PERSONAL AND SUBJECT MATTER JURISDICTION AND VENUE OF THOSE COURTS.

12. The odds of winning will be determined by the total number of Eligible Entries received.

13. For a copy of the name of the winner send a self-addressed stamped envelope to: MTV Online, Attn: VH1.com Integrated Marketing Department, VH1 “2008 Hip Hop Honors” Sweepstakes, 1515 Broadway, 21st Floor, New York, NY 10036. All such requests must be received by no later than January 6, 2009. Vermont residents may omit return postage.

14. Grand Prize Winner agrees that Sponsor Entities shall have no liability in connection with acceptance or use of any of the prizes awarded herein.
