OFFICIAL RULES


1. NO PURCHASE NECESSARY TO ENTER OR WIN A PRIZE. OFFER VOID IN HAWAII, ALASKA AND WHEREVER PROHIBITED OR RESTRICTED BY LAW. A PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING. THIS PROMTION SHALL BE CONSTRUED AND EVALUATED ONLY ACCORDING TO UNITED STATES LAW.

2. PROMOTION PERIOD: VH1 and Rhapsody Present: The Fray Superfan Sweepstakes (the "Sweepstakes") commences at or around 12:00 pm Eastern Time ("ET") December 19, 2008 and ends at 12:00 pm ET January 27, 2009 (the "Promotion Period"). All entries must be received by 12:00 pm ET January 27, 2009 and must comply with these Official Rules, including Paragraph 2.

3. TO ENTER: The Sweepstakes will be posted on www.vh1.com (the "Web Site"), a website owned and controlled by MTV Networks, a division of Viacom International Inc., ("MTVN") starting at 12:00 pm (ET) on December 19, 2008 and ending at 12:00 pm. (ET) on January 27, 2009. Participants must complete all required fields on the online entry form, submit such entry form as directed, and must also electronically acknowledge and agree to the terms of MTVN's Privacy Policy and Terms of Use, to be entered into the Sweepstakes. Entries submitted in accordance with these Official Rules shall be referred to herein as the "Eligible Entries". Limit one (1) entry per person or household per day. If a participant uses multiple e-mail addresses to submit more than one (1) entry for a given day, only the first online entry for that day will qualify as an Eligible Entry. Limit one (1) prize per person or household. There will be one (1) grand prize winner (the "Grand Prize Winner") selected from the Eligible Entries received.


4. ELIGIBILITY: Sweepstakes is open to all legal residents of the forty-eight (48) contiguous United States (except as set forth below) who are twenty-one (21) years of age or older at the time of entry. Potential Grand Prize Winner's one (1)guest similarly must be a legal resident of the forty-eight (48) contiguous United States and must be twenty-one (21) years of age or older at the time of prize fulfillment. Any potential Grand Prize Winner and his/her one (1) guest are subject to proving eligibility, including verification of social security number and is further subject to possessing a valid, government-issued photographic identification at the time of prize fulfillment. If any potential Grand Prize Winner cannot furnish verifiable and valid proof of age within forty-eight (48) hours after being notified of winning, then all rights of such potential Grand Prize Winner to receive and use the Grand Prize thereupon will be terminated, and an alternate winner may be chosen from among all remaining Eligible Entries received, at MTVN's sole discretion. Entrants are not eligible to participate in the Sweepstakes if they are, or have an immediate family member (parent, spouse, child, sibling, grandparent, step parent, step child and step sibling and their respective spouses, regardless of where they reside) or household member, whether or not related, that is an agent, employee, officer, director, successor or assign of MTVN, Viacom, Rhapsody, Epic or any other participating sponsors, affiliated companies, subsidiaries, advertising agencies and third party fulfillment agencies as well as any person who has won an MTVN sponsored national contest or sweepstakes in the twelve (12)-month period preceding entry into this Sweepstakes. PRIZING:* One (1) Grand Prize Winner (the "Grand Prize Winner") will receive the following Grand Prize Package (each component a "Prize" and collectively the "Grand Prize Package"): - Round-trip coach-class air transportation to New York, NY for the Grand Prize Winner and one (1) eligible guest from a major airport of MTVN's choice near the Grand Prize Winner's residence. MTVN reserves the right to substitute air transportation for ground transportation if Grand Prize Winner resides within a 150-mile radius of New York City (Approximate retail value ["ARV"]: $1,500.00).

- Standard hotel accommodations for two (2) nights at a hotel and room type selected by MTVN in its sole discretion in New York City (room and tax only, one (1) double occupancy room, ARV: $600.00).

- Round-trip ground transportation to airport in New York, NY for Grand Prize Winner and his/her one (1) guest (ARV: $200.00).

- Admission for two (2) to attend "The Fray" Webster Hall Show in New York City (the "Show") tentatively scheduled for February 4, 2009. (ARV of each admission is $27.50).

-An opportunity to attend a meet and greet with one (1) or more band members of the band "The Fray" (subject to band member availability).

-One (1) year "Rhapsody To Go" subscription to the Rhapsody digital music service (ARV: $180.00, subscription subject to change at MTVN's sole discretion).

-One (1) Logitech® Squeezebox TM Boom Player (make and model subject to change at MTVN's sole discretion, ARV: $299.99).

* All Prizing is subject to availability. MTVN reserves the right to without any prior notice and at any time replace, any or all prizes with a prize or prizes of equal or greater value.*

The total approximate retail value of the Grand Prize is $2,834.99 6. The tentative date for all prize fulfillment is February 3, 2009 - February 5, 2009 and is subject to change at MTVN's sole discretion should the date of the Show move or be cancelled. The total approximate retail value of this Sweepstakes is $2,834.99. The actual retail value of this Sweepstakes depends on current existing market conditions at time of prize fulfillment. By accepting the Grand Prize, the Grand Prize Winner(s) and his/her one (1) guest agree that he/she will not and will not authorize any third party to auction or sell the Grand Prize Package without MTVN's written consent, which consent may be granted or withheld in its sole discretion. Grand Prize Package is non-transferable. Grand Prize Winner and his/her one (1) guest must be available to attend the Show on February 4, 2009 or forfeit any prize. In the event the Grand Prize Winner and his/her one (1) guest are unable to attend the Show on such date as determined by MTVN, Grand Prize Winner of the Sweepstakes and all privileges as a Grand Prize Winner will immediately be forfeited and terminated. An alternate Grand Prize Winner may be selected instead from among all of the remaining Eligible Entries received by and at the sole discretion of MTVN. Any costs and expenses associated with Prize acceptance and use which are not expressly set forth in these Official Rules, including but not limited to, meals, gratuities, luggage fees, phone calls, and any and all other travel and incidental expenses not specifically mentioned above as being included within the Grand Prize Package are the Grand Prize Winner and his/her one (1) guest's sole responsibility. The value of the any Prize may be taxable as income. Upon receipt of any Prize, Grand Prize Winner is required to comply with any and all applicable federal, state and local tax that becomes due with respect to the acceptance and use of any Prize.

7. The odds of winning will be determined by the total number of Eligible Entries received..

8. By participating in this Sweepstakes participants agree to be bound by each provision of these Official Rules and by the decisions of MTVN, which are final, binding and non-appealable in all matters relating to this Sweepstakes. .

9. SELECTION/NOTIFICATION OF WINNERS The Grand Prize Winner will be chosen at random, from among all of the Eligible Entries received by MTVN on or around January 27, 2009. MTVN will contact the potential Grand Prize Winner by phone and/or email. MTVN will attempt to reach the potential Grand Prize Winner three (3) times by phone and/or email within one (1) business day. Voice messages and/or email messages will be left and the potential Grand Prize Winner must call back within one (1) business day of the first phone or email message being left. If the potential Grand Prize Winner is unreachable, or does not confirm receipt of winner notification voicemail or email message by MTVN within the one (1) business day period in which the voicemail or email message was left or is found ineligible or does not comply with these Official Rules, then an alternate winner may be chosen, in MTVN's sole discretion. If an alternate winner is chosen, it will be selected randomly from the remaining Eligible Entries.

10. The specifics of all elements of any prize in the Sweepstakes shall be solely determined by MTVN. Some restrictions may apply. No substitution, transfer of any prize (or any part of a prize package) or cash alternative permitted, except by MTVN due to prize unavailability at time of award in which case a prize of equal or greater value will be awarded. Unless specified otherwise by MTVN, no cash will be awarded. Arrangements for the fulfillment of prizes will be made by MTVN. Return of any prize as undeliverable will result in forfeiture of the prize and selection of alternate winner.

11. By entering the Sweepstakes, each participant agrees to abide by the terms of these Official Rules and by the decisions of the MTVN, and agrees to release and hold harmless MTVN, Rhapsody, Viacom, and Epic and their respective parent companies, subsidiaries, affiliates and agencies, and the officers, directors and employees of each of the foregoing, from and against any and all liability arising from or in connection with participation in the Sweepstakes or the acceptance, possession and/or use of any prize if awarded to him/her or his/her participation in prize-related activities if Grand Prize is awarded to him/her, As a prerequisite for receiving and using the Grand Prize Package, the potential Grand Prize Winner must complete, sign and return to MTVN, within two (2) weeks after the date of MTVN's request therefore and presentation thereof: (a) an affidavit of eligibility and a liability release of Rhapsody, MTVN, Viacom, and each of their respective affiliates and employees from any and all liability, claims, demands, As a prerequisite for receiving and using the Grand Prize Package, the potential Grand Prize Winner must complete, sign and return to MTVN, within two (2) weeks after the date of MTVN's request therefore and presentation thereof: (a) an affidavit of eligibility and a liability release of MTVN, Viacom, Rhapsody, and each of their respective affiliates and employees from any and all liability, claims, demands, judgments, and causes of action for personal injury and/or damage, theft, or loss suffered in connection with this Sweepstakes or the use or acceptance of the Grand Prize Package (or any portion thereof); and (b) except where prohibited by law, a promotional release granting the right to use his or her name and/or likeness for advertising and/or publicity purposes in all media now known or hereafter devised, worldwide in perpetuity and without additional compensation, notification, or permission, unless prohibited by law; and (c) any other legal document that MTVN may require (in its sole discretion). Guest must also execute and return a liability/publicity release prior to issuance of travel documents. Entry into this Sweepstakes constitutes each potential Grand Prize Winner and his/her one (1) guest's agreement to sign such releases. Failure of any potential Grand Prize Winner and his/her one (1) guest to complete, sign and return to MTVN such affidavit, release and legal documentation within such two (2) week period shall result in Grand Prize Winner's disqualification from the Sweepstakes, in which event an alternate winner may be selected from among all remaining Eligible Entries, in MTVN's sole discretion. The receipt by any winner of any of the prize components of this Sweepstakes is conditioned upon compliance with any and all federal, state and local rules and regulations. ANY VIOLATION OF THESE OFFICIAL RULES BY ANY WINNER (AT MTVN'S SOLE DISCRETION) WILL RESULT IN SUCH WINNER'S DISQUALIFICATION AS WINNER OF "VH1 AND RHAPSODY PRESENT: THE FRAY SUPERFAN SWEEPSTAKES" AND ALL PRIVILEGES AS WINNER WILL BE IMMEDIATELY TERMINATED.

12. The value of the prize(s) may be taxable as income. Upon receipt of any prize, Grand Prize Winner is required to comply with any and all applicable federal, state and local tax that becomes due with respect to the prize(s).

13. All interpretations by MTVN of these Official Rules, and all decisions by MTVN under and in relation to these Official Rules, are final, binding and non-appealable in all respects. MTVN reserves the right at its sole discretion to disqualify any individual it finds to be tampering with the entry process or the operation of the Sweepstakes or the Web Site; to be acting in violation of the Official Rules; or to be acting in an unsportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person. CAUTION: ANY ATTEMPT BY A PARTICIPANT OR ANY OTHER INDIVIDUAL TO DELIBERATELY DAMAGE ANY WEB SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, MTVN RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT PERMITTED BY LAW. THE NEW YORK COURTS (STATE AND FEDERAL) SHALL HAVE SOLE JURISDICTION OF ANY OF THE CONTROVERSY REGARDING THE SWEEPSTAKES AND THE LAWS OF THE STATE OF NEW YORK SHALL GOVERN THE SWEEPSTAKES. EACH PARTICIPANT WAIVES ANY AND ALL OBJECTIONS TO JURISDICTION AND VENUE IN THOSE COURTS AND HEREBY SUBMITS TO THE JURISDICTION OF THOSE COURTS.

14. GENERAL CONDITIONS OF PARTICIPATION: MTVN's failure to enforce any term of these Official Rules shall not constitute a waiver of that provision. By participating in this promotion, participant hereby agrees irrevocably and in perpetuity that neither MTVN, Viacom, nor any of such entities' respective subsidiaries, affiliates, related companies or employees shall have any liability in connection with such Grand Prize Winner's acceptance or use of any prize awarded in this Sweepstakes. By accepting the Grand Prize Package the Grand Prize Winner and his/her one (1) guest agree irrevocably and in perpetuity to release and hold harmless MTVN, Viacom, and each of their respective affiliates and employees from and against any and all losses, damages, rights, claims, judgments and actions of any kind resulting from or relating to the acceptance, possession or use of any such prize, including without limitation, personal injuries, death and property damage

15.
