VH1's "Crash the Party" Sweepstakes
1. No purchase necessary. VOID WHERE PROHIBITED.
2. To enter: log on to www.VH1.com (the "Website), a website owned and controlled by MTV Networks ("MTVN") starting at or around 12:00 noon (ET) June 16, 2005 ending at or around 12:00 noon (ET) July 25, 2005. The Website's clock will be the official time keeper for this Sweepstakes. Participants must fill out the required fields on the Sweepstakes entry form to be entered into a random drawing (collectively "Eligible Entries). There will be one (1) Grand Prize and ten (10) First Prizes available. One (1) grand prize winner (the "Grand Prize Winner") and ten (10) first prize winners (the "First Prize Winners") will be selected from all of the Eligible Entries received. Participants must complete all required data requested on the entry form. Incomplete or inaccurate entry forms are void. Limit one entry per person per day. If an entrant uses multiple e-mail addresses to submit more than one online entry for a given day, only the first online entry for that day will count. MTVN, New Line Productions, Inc. ("New Line"), and each of their respective agencies, including each of their subsidiaries, affiliates, distributors, retailers, sales representatives, and advertising and promotion agencies (collectively, the "Sweepstakes Entities") are not responsible for any problems or technical malfunctions of any telephone network or lines, computer on-line systems, servers or providers, computer equipment, software, failure of email or players on account of technical problems or traffic congestion on the Internet or at any Web site, any human error which may occur in the processing of the entries in the Sweepstakes, or combination thereof, including injury or damage to participants or to any other person's computer related to or resulting from participating or downloading materials in this Sweepstakes. If, for any reason, the Sweepstakes cannot be run as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of MTVN which corrupt or affect the administration, security, fairness, integrity or proper conduct of this Sweepstakes or for any reason MTVN deems it necessary, MTVN reserves the right at their sole discretion to cancel, terminate, modify or suspend the Sweepstakes. Should the Sweepstakes be terminated prior to the stated expiration date, notice will be posted on the Website and the prizes may be awarded based on a random drawing that MTVN will conduct from among all Eligible Entries received as of the date of termination. Entries that have been tampered with or altered are void. In the event of a dispute over who submitted an entry, such entry will be declared made by the authorized account holder of the email address submitted at the time of entry. An "authorized account holder" is defined as the natural person to whom the applicable email address has been assigned by the Internet access provider, service provider, or other online organization responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address. A potential winner may be requested to provide MTVN with proof that the potential winner is the authorized account holder of the e-mail address associated with the winning entry. If a dispute cannot be resolved to MTVN's satisfaction, the entry will be deemed ineligible.
3. Prizing: One Grand Prize is available. The Grand Prize includes:
- Roundtrip airfare for Grand Prize Winner and guest to winner's choice of the following cities: Los Angeles, CA, New York, NY or Miami, FL (MTVN reserves the right to substitute ground transportation for air transportation if winner resides within 150 miles of the selected city). Approximate retail value ("ARV") of $750.00)
- Three (3) night stay in a hotel (room and tax only) for winner and guest (ARV of $900.00)
- VIP access to a nightclub (Selection of nightclub will be at MTVN's sole discretion) for winner and guest. (ARV of $50.00)
- Five Hundred Dollars ($500.00) spending cash for Grand Prize Winner
- Limousine service to and from the nightclub (ARV of $450.00)

The total approximate retail value of all prizes offered in the Sweepstakes is $3,640.00
The tentative date for all prize fulfillment is by March 31, 2006 and is subject to change at MTVN's sole discretion. Total approximate retail value of this Sweepstakes is $3,640.00. The actual retail value of this Sweepstakes depends on current existing market conditions at time of prize fulfillment and point of departure for Grand Prize trip. MTVN reserves the right to substitute any prize with prize(s) of comparable value. The winner's travel companion must be 18 years of age or older, or if the companion is under the age of majority in his or her state of residence ("Minor") as of the date of the trip, the winner must be such Minor's parent or legal guardian and Minor companion's parent or legal guardian must sign and return a liability/publicity release prior to ticketing of prize. Winner and his or her travel companion must travel on the same itinerary and possess all required travel documents and identification (including, without limitation, visas and a valid passport, if applicable).
4. Odds of winning will depend on the total number of eligible entries received.
5. By participating in this Sweepstakes, entrants agree to be bound by and to comply with these Official Rules, including all eligibility requirements, and by the decisions of MTVN which are final in all matters relating to this Sweepstakes.
6. The Grand Prize Winner and First Prize Winners will be chosen at random, from among all of the Eligible Entries received by an independent judging organization on MTVN's behalf on or around July 25, 2005. The Grand Prize Winner will be contacted by telephone (no voicemail message will be left) and First Prize Winners will be contacted by e-mail and regular mail. If any winner(s) is unreachable within 7 days of initial attempt, an alternate winner will be selected from among all remaining eligible entries received.
7. The specifics of all elements of any prize in the Sweepstakes shall be solely determined by MTVN. Some restrictions may apply. No substitution, transfer of any prize (or any part of a prize package) except by MTVN due to prize unavailability at time of award in which case a prize of equal or greater value will be awarded. Arrangements for the fulfillment of prizes will be made by MTVN. Winner must sign within two weeks of date of letter (a) an affidavit of eligibility and release of the Sweepstakes Entities, CBS and Viacom International from any and all liability, claims, demands, and causes of action for personal injury and/or damage, theft, or loss suffered in connection with this Sweepstakes or the use or acceptance of the prize or any portion thereof to be eligible for the prizes; and (b) where permitted, a promotional release granting the right to use his or her name, likeness and city/state of residence for advertising and publicity purposes without additional notice or compensation. Entry into this Sweepstakes constitutes winner's agreement to sign such release. Grand Prize Winner and First Prize Winners must also complete, all legal documents and return them to MTVN within three (3) working days after receipt of such documents. Noncompliance will result in disqualification of the Grand Prize Winner and First Prize Winners and an alternate winner, if necessary, will be selected randomly from the remaining Eligible Entries.
8. The receipt by any winner of any of the prize components of this Sweepstakes is conditioned upon compliance with any and all federal, state and local rules and regulations. ANY VIOLATION OF THESE OFFICIAL RULES BY ANY WINNER (AT MTVN'S SOLE DISCRETION) WILL RESULT IN SUCH WINNER'S DISQUALIFICATION AS WINNER OF THE SWEEPSTAKES AND ALL PRIVILEGES AS WINNER WILL BE IMMEDIATELY TERMINATED.
9. The value of the prize(s) may be taxable as income. Upon receipt of any prize, each winner is required to comply with any and all applicable federal, state and local tax that becomes due with respect to the prize(s).
10. Sweepstakes is open to VH1.com users who are legal residents of the U.S., 21 years of age and up at time of entry and who have an active e-mail account as of June 16, 2005. Winners are subject to proving eligibility, including verification of social security number. If Winners cannot furnish verifiable and valid proof of age within 48 hours after being notified of winning, an alternate winner may be chosen from among all remaining eligible entries received, in MTVN's sole discretion. Sweepstakes not open to directors, officers employees (and their immediate families or persons living in the same household of any such officers, directors and employees) of MTV Networks, Viacom International, CBS, New Line, Time Warner and their wholesale distributors, advertising and promotion agencies, all retail licensees, affiliated companies and subsidiaries as well as any person who has won an MTVN national contest or Sweepstakes in the 2005 calendar year. All entries become the property of MTVN.
11. All interpretations of the rules and decisions by MTVN are final. MTVN reserves the right at its sole discretion to disqualify any individual it finds to be tampering with the entry process or the operation of the game or web site; to be acting in violation of the Official Rules; or to be acting in an unsportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person. CAUTION: ANY ATTEMPT BY A PARTICIPANT OR ANY OTHER INDIVIDUAL TO DELIBERATELY DAMAGE ANY WEB SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, MTVN RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT PERMITTED BY LAW. THE NEW YORK COURTS (STATE AND FEDERAL) SHALL HAVE SOLE JURISDICTION OF ANY OF THE CONTROVERSY REGARDING THE CONTEST AND THE LAWS OF THE STATE OF NEW YORK SHALL GOVERN THE CONTEST. EACH ENTRANT WAIVES ANY AND ALL OBJECTIONS TO JURISDICTION AND VENUE IN THOSE COURTS AND HEREBY SUBMITS TO THE JURISDICTION OF THOSE COURTS.

13. Winners agrees that MTV Networks, Viacom International, Central Broadcasting System (CBS), New Line, their subsidiaries, affiliates, related companies, employees, distributors, retailers, sales representatives, and advertising and promotion agencies ("Releasees") shall have no liability for any injuries or damages suffered as a result of or in connection with participation in Sweepstakes or in acceptance, use or misuse of any of the prizes awarded herein or participation in any prize-related activity. By accepting a prize, winner agrees (A) to release and hold Releasees harmless from any and all losses, damages, rights, claims and actions of any kind resulting from acceptance, possession or use of any prize, including without limitation, personal injuries, death and property damage and (B) have not made any warranty, representation or guarantee express or implied, in fact or in law, with respect to any prize, including, without limitation, to such prize's quality, merchantability or fitness for a particular purpose.
