2. Entry Period: The "VH1 Top 20 Text This Sweepstakes" (the "Sweepstakes") commences at 12:00:00 AM (ET) on January 12, 2008 and ends at 11:59:59 PM (ET) on December 31, 2008 (the "Sweepstakes Period"). All entries must be received by 11:59:59 PM (ET) on December 31, 2008.

3. Sweepstakes Overview: This Sweepstakes is made up of a weekly sweepstakes (the "WeeklySweepstakes") that will take place each week during the Sweepstakes Period as follows

January 12, 2008 at 12:00:00 AM (ET) through December 31, 2008 at 11:59:59PM ET)

One (1) winner will be selected from all of the Eligible Entries (as hereinafter definedreceived during each WeeklySweepstakes (the "WeeklyWinner" or "WeeklyWinners").

One (1) winner will be selected from all of the Eligible Entires (as hereinafter defined) received duringach calendar quarter of the Sweepstakes Period (the "QuarterlyWinner" or the "QuarterlyWinners").

4. Eligibility: This Sweepstakes is open to legal residents of the 50 United States and District of Columbia. Entrants must be at least 16 years of age at time of entry. Entrants who have not yet reached the age of majority in the jurisdiction in which they reside must obtain parental/legal guardian consent in order to enter Sweepstakes. Employees (and their immediate families, i.e., parents, spouse, children, siblings, grandparents, step parents, step children and step siblings) of MTV Networks, a division of Viacom International Inc. ("MTVN") and its affiliated companies, sponsors, subsidiaries, advertising agencies and third party fulfillment agencies are not eligible to enter Sweepstakes. By participating in this Sweepstakes, entrants: (a) agree to be bound by these Official Rules and by the interpretations of these Official Rules by MTVN, and by the decisions of MTVN, which are final in all matters relating to the Sweepstakes; (b) to release and hold harmless MTVN and its agents, employees, officers, directors, successors and assigns, against any and all claims, injury or damage arising out of or relating to participation in this Sweepstakes and/or use or misuse or redemption of a Weekly Prize (as hereinafter defined); and (c) acknowledge compliance with these Official Rules.

5. To Enter:

To Enter Via Text Messaging: Using your mobile phone, submit your entry by texting the keyword "TOP" or "20" to the shortcode 66333. Entrant will then receive a multiple choice trivia question ("Trivia Question", or collectively with all the trivia questions, the "Trivia Questions"). There are a total of five (5) Trivia Questions, dealing with the subject of popular music and music videos, associated with each WeeklySweepstakes. After entrant answers the first Trivia Question, they will automatically be sent another Trivia Question to answer, regardless if they answer the question correctly or incorrectly. This process will repeat itself until the entrant answers all 5 Trivia Questions or until entrant decides to stop answering questions. If entrant answers a Trivia Question incorrectly, they can still continue to receive Trivia Questions but they will be disqualified from that particular WeeklySweepstakes. Entrants who answer 5 Trivia Questions correctly will be entered into the random drawing to win a WeeklyPrize or a QuarterlyPrize (as described below).

Entrants must also agree to the terms of MTVN's Privacy Policy located top20.vh1.com. $.99 premium rate charged per text message for every text entry into any Weekly Sweepstakes, not including taxes and fees and carrier's standard rate charges. To Enter Online: Visit top20.vh1.com, a web site owned and controlled by MTVN (the "Web Site") and complete all required fields on the online entry form. Entrants must also electronically acknowledge and agree to the terms of MTVN's Privacy Policy and Terms of Use and submit the online form as requested.

All entries in compliance with these Official Rules, will be considered an Eligible Entry or Eligible Entries for that particular WeeklySweepstakes drawing wherein the Weekly Winner will be randomly selected from among all of the Eligible Entries that entered that Weekly Sweepstakes via text messaging or online entry.

Entrants can enter any Weekly Sweepstakes (via text entry or online entry) as many times as they may wish. Entrants can enter more than one WeeklySweepstakes but there is a limit of one (1) WeeklyPrize (as hereinafter defined) per entrant for all WeeklySweepstakes per calendar quarter. If an entrant uses multiple phones or e-mail addresses to submit more than one mobile text message or online entry for a particular Sweepstakes, only the first text message or online entry will count. In the event of a dispute over who submitted a winning mobile text message or online entry, the authorized subscriber of the mobile phone or e-mail account, as applicable, used to participate in the Sweepstakes at the actual time of entry, will be deemed to be the entrant. The authorized account subscriber is defined for mobile phone entries as the natural person whose name the mobile phone was issued to and to whom the services are billed, and the authorized account subscriber is defined for online entries as the natural person who is assigned an e-mail address by an Internet access provider, online service provider or other organization (e.g. business, education, institution, etc.) that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address. All entries become the property of MTVN and will not be acknowledged or returned.

6. WeeklyWinner Selection/Notification: One (1) WeeklyWinner will be randomly selected by MTVN from the Eligible Entries received for each WeeklySweepstakes throughout the Sweepstakes Period. MTVN will make up to two (2) attempts over the 48 hour period following each WeeklyWinner selection to contact the potential WeeklyWinner via the telephone number(s) provided on their entry form. If the potential WeeklyWinner cannot be reached during the 48 hour period in which he/she is called (no messages will be left on answering machines or voicemail systems) the potential WeeklyWinner will be disqualified and an alternate WeeklyWinner will be selected from among the remaining applicable Eligible Entries received.

7. Quarterly Selection/Notification: One (1) QuarterlyWinner will be randomly selected by MTVN from the Eligible Entries received for each calendar quarter throughout the Sweepstakes Period. MTVN will make up to two (2) attempts over the 48 hour period following each QuartlerlyWinner selection to contact the potential QuarterlyWinner via the telephone number(s) provided on their entry form. If the potential QuarterlyWinner cannot be reached during the 48 hour period in which he/she is called (no messages will be left on answering machines or voicemail systems) the potential QuarterlyWinner will be disqualified and an alternate QuarterlyWinner will be selected from among the remaining applicable Eligible Entries received.

8. WeeklyWinner/QuarterlyWinner Verification: Each potential WeeklyWinner and QuarterlyWinner must prove eligibility, including, without limitation, proof of age and residence within three (3) days of being notified as a potential WeeklyWinner or QuarterlyWinner. In the event of non-compliance by a potential WeeklyWinner or a QuarterlyWinner such potential WeeklyWinner or QuarterlyWinner shall be disqualified and all privileges otherwise due as a WeeklyWinner or as a QuarterlyWinner shall be terminated and an alternative potential WeeklyWinner or QuarterlyWinner may be chosen from among all of the remaining applicable Eligible Entries received in MTVN's sole discretion. The WeeklyWinner or QuarterlyWinner must sign (or, if a minor, his/her parent/legal guardian) within three (3) days of receipt of such documents from MTVN: (a) an affidavit of eligibility and release of MTVN and its officers, directors, employees, agents, members, affiliated companies and subsidiaries, from any and all liability, loss, claims, demands, and causes of action for personal injury and/or damage, theft, loss, or any other harm suffered in connection with this Sweepstakes or the use/misuse or acceptance of any WeeklyPrize or any QuarterlyPrize or any portion thereof to be eligible for the WeeklyPrizes or the Quarterly Prizes; and (b) except where prohibited by law, a promotional release granting MTVN the right to use their name and likeness for advertising and publicity purposes without additional compensation. Entry into this Sweepstakes constitutes agreement to sign such releases. WeeklyWinner or QuarterlyWinner (or, if a minor, his/her parent/legal guardian) also must acknowledge that MTVN has not and will not obtain or provide insurance of any kind relating to the WeeklyPrizes or QuarterlyPrizes and that WeeklyWinner or QuarterlyWinner will be responsible for obtaining and paying for any life, travel, accident, property or other form of insurance relating to the WeeklyPrizes or QuarterlyPrizes. WeeklyWinner/QuarterlyWinner (or, if a minor, his/her parent or legal guardian) must also complete any additional legal documents provided by MTVN (or third party on its behalf, if applicable) with respect to the WeeklyPrizes or QuarterlyPrizes and return them as instructed within the timeframe specified by MTVN or WeeklyWinner or QuarterlyWinner may forfeit WeeklyPrizes or Quarterly Prizes at MTVN's sole discretion. All decisions of MTVN relating to the Sweepstakes are final. MTVN expressly reserves the right to delay the announcement of the WeeklyWinners or the QuarterlyWinners for creative or technical reasons or for any other reason MTVN deems necessary.

8. Prizes:

Weekly Prizing:

Each WeeklyWinner will receive one (1) of the following: One (1) year "Rhapsody to Go" subscription to the Rhapsody digital music service (the "Rhapsody Subscription") (the "WeeklyPrize" or "Weekly Prizes").

The "Rhapsody to Go" subscription will expire one (1) year from the date of activation. The Winner will have the opportunity to renew their Rhapsody subscription by entering credit card information at the time of expiration and paying the applicable subscription fee. The Winner must agree to the terms of the End User License Agreement, Privacy Policy, and Terms of Use to use the Rhapsody Subscription. In order to activate the Rhapsody Subscription the Winner may need to provide the following information to MTVN: name, email address and date of birth.

Quarterly Prizing:

Each QuarterlyWinner will receive one (1) of the following: One (1) MP3 player (model and make to be determined by MTVN) (the "Quarterly Prize" or "Quarterly Prizes").

The approximate retail value ("ARV") of each WeeklyPrize is $175.00. The ARV of the QuarterlyPrize is $250.00. All prizing is subject to change based on current market conditions at time of WeeklyPrize/QuarterlyPrize fulfillment. Any difference between the ARV and the actual value, if any, will not be rewarded. The dates for fulfillment of the WeeklyPrizes and the QuarterlyPrizes are subject to change in MTVN's sole discretion.

9. General Prize Terms: Arrangements for fulfillment of the WeeklyPrizes and the QuarterlyPrizes will be made by MTVN. All costs and expenses not specifically listed above, including, without limitation, any equipment to be used in connection with the WeeklyPrizes and the QuarterlyPrizes are solely the WeeklyWinner's and the QuarterlyWinner's responsibility. The value of the WeeklyPrizes and the QuarterlyPrizes may be taxable to the WeeklyWinner and the QuarterlyWinner as income. Upon entry into the Sweepstakes, WeeklyWinners, QuarterlyWinners (as well as all other entrants) are required to comply with any and all applicable federal, state, and local laws, rules, and regulations. All federal, state and local taxes, and any other costs not specifically provided for in these Official Rules are solely the WeeklyWinner's and the QuarterlyWinner's responsibility. MTVN shall have no responsibility or obligation to a any Winner or potential Winner who is unable or unavailable to accept or utilize the WeeklyPrizes and the QuarterlyPrizes as described herein.

No substitution, transfer or cash equivalent of the WeeklyPrizes and the QuarterlyPrizes or any portion thereof permitted, except by MTVN, in which case a prize of comparable or equal or greater value may be awarded.

10. General Terms: Noncompliance with any of these Official Rules may result in disqualification. ANY VIOLATION OF THESE OFFICIAL RULES BY A WEEKLY WINNER OR A QUARTERLY WINNER OR ANY BEHAVIOR BY A WEEKLYWINNER OR A QUARTERLY WINNER THAT WILL BRING SUCH WEEKLYWINNER OR QUARTERLY WINNER OR MTVN INTO DISREPUTE (IN MTVN'S SOLE DISCRETION) WILL RESULT IN SUCH WEEKLYWINNER'S OR QUARTERLY WINNER'S DISQUALIFICATION AS A WEEKLYWINNER OR QUARTERLY WINNER OF THE VH1 TOP 20 TEXT THIS SWEEPSTAKES AND ALL PRIVILEGES AS A WEEKLYWINNER OR A QUARTERLY WINNER WILL BE IMMEDIATELY TERMINATED.
